These are OD3ON's Terms of Use, which apply to all users of the OD3ON platform. “We,” ‘us,’ and ‘our’ refer to OD3ON, LLC. “OD3ON” refers to this platform and the services we offer, including the OD3ON iOS app, OD3ON Android app, OD3ON APIs, OD3ON integrations, www.od3on.com, and other OD3ON websites. By using OD3ON, you agree to these terms and other policies we publish, including the Privacy Policy, Community Guidelines, and Benefits Guidelines. Please read them carefully and let us know if you have any questions. For more information about our data practices, please see our Privacy Policy.

 

Your Account

When you create an account, you must provide accurate information in good faith and keep it updated if anything changes. To use OD3ON or create an account, you need to be at least 13 years old and meet the minimum age required to consent to the processing of your personal data in your country (in some cases, we may allow a parent or guardian to consent on your behalf). To have a creator page on OD3ON or to purchase offers or subscriptions, you must be at least 18 or have permission from a parent or legal guardian. To subscribe to an adult/18+ creator or purchase related offers, you must be at least 18. You’re responsible for everything that happens when someone is logged into your account and for keeping your account secure. Contact us immediately if you think your account has been compromised.

Violations

You’re responsible for all activity on your account. If you break our terms or rules, we may terminate your account. Don’t do anything illegal, abusive to others, or that technically misuses OD3ON in a way that harms us or the community. You must follow the platform’s Rules. While our terms and policies cover most issues, they aren’t exhaustive. If you find a new way to harm OD3ON or our community, we may take action to stop it.

Creators

To become a creator, simply start your channel. When you join OD3ON, you’re part of our community. You can use our tools to showcase your creations and engage with your audience. Subscriptions are for your fans. On OD3ON, you can offer perks like extra access, merchandise, exclusive content, or engaging community experiences. In return, you’ll get loyal support from your fans and revenue from subscriptions and offers purchased on OD3ON.

Payments

As a creator, you can offer one-time deals or auto-renewing subscriptions on OD3ON. Where supported, we automatically convert offer and subscription prices into a customer’s local currency based on a conversion rate we determine at our discretion. Learn more here.

We generally handle payment issues like fraud, chargebacks, and disputes, though some platforms (like the App Store) may manage these for purchases made through them. We aim to give you quick access to funds you’ve earned, but delays may happen occasionally.

We may block or restrict access to funds if you violate our terms or rules or for compliance reasons, such as verifying your identity. When this happens, we’ll try to explain why as soon as possible. Contact us if you have questions about blocked funds. To protect creators, we may block payments from contributors we suspect are fraudulent. Refunds or chargebacks could make your account balance negative, and fees from OD3ON or platforms (like the App Store) may not be refunded. If your balance goes negative, we may recover those funds from future payments.

To keep OD3ON safe for everyone, creators sharing sexually explicit content or nudity must meet extra requirements. If you’re an adult/18+ creator, you agree to verify you’re over 18 using our requested methods, confirm everyone in your content is over 18, and get written consent from them to participate. You must provide proof of age and consent quickly if we ask.

Fees

As a creator, there are fees for your paid offers and subscriptions on OD3ON. These are summarized below, but the latest details are on the Revenues page. Fees may increase with notice and can vary based on the OD3ON service level or type you choose, such as paid subscriptions, free subscriptions, or one-time payment services:

- Platform fees, which may include fixed fees and/or a percentage of successfully processed payments. For services including merchandising, we also charge the cost of the merchandise based on the quantity and type of items.

- Payment processing fees, a percentage of successfully processed payments plus a fixed fee per payment, covering costs like recurring billing, declined payment recovery, and fraud prevention.

- Payout fees, for transferring your earnings to your chosen payment method, which vary by method.

- Currency conversion fees, a percentage of payments processed in a currency different from your payout currency.

You can see fees for offers and subscriptions in your creator dashboard, but payout fees may not be listed there. For purchases made through certain platforms (like the App Store), those platforms may add their own fees. We try to show these in your dashboard, and where supported, OD3ON may automatically adjust offer prices to account for them.

If a user pays in a currency different from their payment method’s currency, their financial institution may charge a foreign transaction fee. We don’t control or receive these fees and can’t confirm if they apply. Even if a user pays in the same currency as their payment method, their financial institution may charge a foreign transaction fee if the payment is processed in a different country. Our payment processing choices may affect these fees, but we don’t control or receive them.

Taxes

To meet tax obligations, we may need to collect tax identification information. For example, if you’re a U.S. resident or citizen, we must issue a 1099-K form at year-end. For 1099-K purposes, we treat all creator earnings as income from goods or services sales. You’re responsible for reporting any taxes you owe.

We’re also responsible for transaction taxes worldwide, like value-added tax (VAT), goods and services tax (GST), and other local service or sales taxes outside the U.S.

Restrictions

We don’t allow creations or perks that violate our terms or Community Rules. Erotic or pornographic content must be posted in the “adult content” category.

If your fans include anyone under 18, remind them they need parental or guardian permission to buy offers or subscriptions, and those under 13 can’t use OD3ON. We’re not required to give specific individuals or groups access to offers, subscriptions, or OD3ON services.

As a creator, you’re responsible for user data security and agree to our Data Processing Agreement (DPA).

We’re always testing new features to improve OD3ON and may add, remove, or trial features with select creators. Access to these isn’t guaranteed and may not be under your control. We can enable or disable early access, beta, or test features at our discretion, and they may have additional restrictions.

Supporters

As a supporter, you back a creator and may get special perks. You pay for one-time offers or auto-renewing subscriptions, as specified, with OD3ON handling billing. If your primary payment method fails and you’ve set up backup methods, we’ll charge those based on your settings.

The schedule and amount for subscriptions or offers depend on what you choose and the creator you support, viewable in your account management page.

To become a supporter, subscribe or buy a paid subscription or offer on OD3ON. Subject to these terms and full payment, if a subscription or offer includes access to a creator’s content, you get a non-exclusive, non-transferable, non-sublicensable, revocable, limited license to view that content for personal, non-commercial use. Content you access this way is generally available but may become unavailable at any time, as noted below.

Besides one-time purchases, OD3ON offers two types of auto-renewing paid subscriptions: monthly (billed monthly) or annual (billed yearly, often at a discount). Not all creators offer both, and available options will be shown before you subscribe.

Subscriptions renew automatically (monthly or yearly) until you cancel via your subscription settings. If your subscription includes a free trial, you’ll be charged after the trial ends unless you cancel beforehand, starting an auto-renewing paid subscription of your chosen type. Your recurring billing date may shift slightly for seasonal, technical, or practical reasons. Subscription fees may increase with notice to account for things like rising costs, new perks, or updated currency conversion rates. Taxes, which we don’t control, may also increase without notice.

You can cancel your trial or recurring payments anytime via your settings. For monthly or annual subscriptions, canceling or lowering your support level affects future charges. Annual subscriptions can be canceled or upgraded but not downgraded, and upgrades take effect during the current billing period. If you upgrade, prior payments may be credited toward the new plan.

Canceling or lowering your support may end access to subscription perks, like exclusive posts or other benefits. You may also lose access to purchased offers or subscription perks if your payment fails, we terminate your account, the creator blocks you, the creator stops offering subscriptions/offers, the creator deletes their account, the creator changes access to an offer/subscription, the creator removes a post or offer, we remove the creator from OD3ON, we change access to an offer/subscription, or we remove a post or offer. We’re not obligated to provide access to specific offers, subscriptions, or creators.

Subscriptions and offers vary, and we have limited control over their quality or specific perks. We try to screen for fraudulent creator pages but can’t guarantee creators’ identities or claims. Please report suspicious pages to help keep OD3ON’s community safe.

If you’re in a region where we must collect taxes (like VAT or sales tax), these are added to your total. Except in rare cases, we’ll show these taxes at checkout. We remit collected taxes to the appropriate authorities. Since taxes depend on your location, you agree to keep your location accurate and updated.

If you pay in a currency different from your payment method’s currency, your financial institution may charge a foreign transaction fee. We don’t control or receive these fees and can’t confirm if they apply. Even if you pay in the same currency, a foreign transaction fee may apply if the payment is processed in a different country. Our payment processing choices may affect these fees, but we don’t control or receive them.

Refunds

Our policy is no refunds, including if you lose access to offers or subscription perks as described above, but we may make exceptions at our sole discretion.

OD3ON’s Role

We regularly monitor the platform to enforce these terms and our Community Rules. We investigate reports of potential violations, which may take time and include reviewing off-platform activity since OD3ON could face risks based on how earned funds are used.

Usually, we work with creators and supporters to resolve potential rule violations and keep using OD3ON. We may terminate accounts when we believe it’s necessary to protect creators, supporters, OD3ON, or the broader community, but we don’t take this lightly.

We may remove a creator or supporter’s ability to participate in annual subscriptions. For creators, this stops others from buying annual subscriptions for them. For supporters, this prevents buying annual subscriptions for any creator. This doesn’t automatically remove someone from OD3ON unless there’s a separate reason.

Account Deletion

You can permanently delete your account anytime via your account management page.

We may suspend or terminate your account at our sole discretion. We can also cancel subscriptions or remove descriptions, posts, offers, or perks at our discretion. You can’t sue us for suspending or terminating any account, and you agree not to file such a claim. If you try, you’re responsible for damages, including legal fees. These terms remain in effect even if your account is gone.

Your Creations

Creators keep full ownership of their content, and supporters own what they post on OD3ON. By sharing or posting content on OD3ON, you grant us a royalty-free, perpetual, irrevocable, non-exclusive, sublicensable, worldwide license to use, copy, reproduce, store, translate, transmit, distribute, perform, create derivative works, publicly display, and use it with any name, username, voice, or likeness you provide, in all formats and channels now known or later developed, anywhere in the world. If your content includes personal data, you acknowledge OD3ON’s legitimate interest in using it per this license.

We don’t buy or lease your intellectual property rights for our gain. We won’t steal, misuse, or profit from your creations beyond facilitating the subscriptions and offers you set up on OD3ON.

You agree not to share or post content on OD3ON that violates others’ intellectual property or proprietary rights. We may remove content that breaks our terms or policies, including these Terms of Use and Community Guidelines. We respond to valid copyright infringement notices and have a policy to terminate accounts of repeat infringers when appropriate.

Supporters can’t use creators’ content in ways the creator doesn’t allow, like sharing it with others who haven’t purchased the related offer or subscription.

OD3ON’s Property

Our creations are protected by copyright, trademark, patent, and trade secret laws. Examples include text on www.od3on.com, other OD3ON websites, our apps, APIs, integrations, our CEO’s underwear, our logo, and our codebase. We grant creators a license to use our logo and other copyrights or trademarks to promote their OD3ON pages. For proper logo use, see our Brand Guidelines. You can’t use, reproduce, distribute, perform, publicly display, or create derivative works of our creations without our written permission. Contact us with questions.

We welcome feedback on OD3ON’s product performance, including early access, beta, or test features, and help spotting issues, bugs, or defects. You agree that any suggestions, feedback, ideas, bug reports, or improvements you share belong to us so we can use them to improve OD3ON for creators and supporters.

Indemnity

You’ll cover any losses or liabilities, including legal fees, arising from these terms or your use of OD3ON. We can take exclusive control of defending any claim covered here, and if we do, you’ll assist us. This indemnity also applies to our subsidiaries, affiliates, officers, directors, employees, agents, and third-party service providers.

Warranty Disclaimer

OD3ON is provided “as is” without any warranties. We exclude all warranties of merchantability, fitness for a particular purpose, non-infringement, or others (like preventing a third world war or zombie attack), express or implied, to the fullest extent allowed by law. This disclaimer also applies to our subsidiaries, affiliates, third-party service providers, and pizza delivery guy.

Limitation of Liability

To the fullest extent allowed by law, we’re not liable for incidental, consequential, or punitive damages from these terms or your use (or attempted use) of OD3ON. Our liability is capped at the money we’ve earned from your use of OD3ON. We’re not responsible for losses from unfulfilled offers/perks or conflicting contracts. Here, “we” and “our” include our subsidiaries, affiliates, officers, directors, employees, agents, third-party service providers, and always our pizza delivery guy.

Disputes

Contact us if you have an issue. If a dispute arises from these terms or your use of OD3ON, it’ll be settled in federal or state courts in Cheyenne, Wyoming. Both sides agree to those courts’ exclusive jurisdiction for such disputes. Wyoming law, ignoring its conflict-of-law rules, governs these terms, other OD3ON policies, and any disputes between you and OD3ON.

Miscellaneous

These terms and referenced policies are the entire agreement between you and us, replacing prior agreements and not creating partnerships, joint ventures, employee-employer, or franchisor-franchisee relationships. If any term is unenforceable, it’s adjusted as needed to enforce it. If it can’t be adjusted, it’s removed, and other terms stay in effect. Failing to enforce a right doesn’t waive future enforcement.

We may update these terms. If we make significant changes, we’ll notify you before they take effect. Using OD3ON after changes means you accept the new terms or policies.
